Winixx Freight ("Winixx Freight," "we," "us," or "our") is a subsidiary of Winixx Inc., a New York corporation. These Terms & Conditions ("Terms") govern your access to and use of the Winixx Freight platform, marketplace, applications, websites, and related services (collectively, the "Platform" or "Service").
By accessing, registering, applying for, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
Right to Discontinue / Revoke Access. We reserve the right to discontinue, modify, suspend, or revoke access to the Platform (in whole or in part) at our sole discretion, at any time, with or without notice, including (without limitation) where we determine that a user has engaged in prohibited behavior, poses risk to other users or the marketplace, or may create legal, compliance, security, or operational risk for Winixx Freight.
Platform is for carriers and shippers alike. Winixx Freight is designed to support both sides of the transportation market - shippers who create shipments and carriers who book and execute them - on a long-term basis. Shippers only pay when they create a shipment under our current model (see "Fees" and "Billing").
You must be at least 18 years old and have authority to accept these Terms on behalf of yourself and/or the entity you represent. You agree to provide accurate, complete, and current information at all times.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Accounts are issued to the verified user or verified organization approved through onboarding. You may not share credentials, grant access, sublicense, or otherwise allow any unauthorized or unverified person to use your account or access the Platform through you.
The Platform may include web interfaces, mobile applications, APIs, dashboards, messaging, bidding tools, documentation workflows, shipment visibility features, and related services. The Platform is provided "as is" and "as available."
Shippers pay only when they create a shipment. When a shipper creates a load/shipment on the Platform, we charge a $5 administration fee per load posted (the "Posting Fee"). The Posting Fee is charged at the time the shipment is created.
All shipments are prepaid. To create a shipment, shippers must fund their Winixx Freight account using an approved funding method. Shippers may fund only in USD (for the U.S. market) or the currency of their local market where supported. We do not accept foreign currencies for a market.
Lane rates are determined by market supply and demand and may change based on capacity availability, seasonality, distance, service requirements, and shipment attributes. Users will see lane rates in their dashboard and/or during shipment creation.
Where enabled, carriers may bid above or below guidance. Shippers may accept or reject bids. Final shipment pricing is determined by mutual agreement between shipper and carrier.
Users acknowledge that Winixx Freight operates as a marketplace and does not verify physical cargo contents. Responsibility for lawful declaration, transport, and compliance rests solely with the shipper and carrier.
Shippers are responsible for accurate shipment details and lawful shipment requests. Carriers are responsible for reviewing shipment details, maintaining compliance and insurance, safely transporting freight, meeting appointment windows, and communicating status updates where required.
Carriers are solely responsible for their vehicles, including maintenance, inspections, roadworthiness, and safe operation. Carriers must comply with all applicable federal, state, and local laws and regulations related to vehicle safety, maintenance, and inspections.
Carriers must register vehicle information with Winixx Freight as required by the Platform. Registered vehicle information may include, without limitation, vehicle type, equipment class, plate and registration details, VIN (where applicable), inspection status, and proof of insurance.
Carriers must maintain valid vehicle inspection documentation and valid insurance coverage applicable to the vehicle and the shipments accepted. Carriers must provide updated documents upon request and must keep information current in the Platform.
Carriers must bring the appropriate vehicle and equipment required to safely and legally transport the cargo as described in the shipment details (including any temperature control, securement, hazardous handling requirements, or equipment-specific constraints). Failure to present the appropriate vehicle/equipment may result in cancellation, delays, accessorials, and enforcement action under these Terms.
Using a vehicle that is not registered with the Winixx Freight Platform, or using a vehicle with invalid/expired inspection or insurance documentation, is a violation of these Terms and may result in suspension or removal from the marketplace.
Funds are deposited into the carrier Wallet upon delivery confirmation. Carriers may cash out partial or full balances. If a carrier does not request a cashout by Sunday 11:59 PM Eastern Time, we will initiate an auto-deposit of available funds to the bank account on file. Standard processing typically takes 2-5 business days.
Winixx Freight may offer a fuel savings program through partners. Eligible users may save on fuel and earn miles/points/rewards redeemable for perks or discounts. Program terms and eligibility will be disclosed at enrollment and/or in the dashboard.
The Platform may track carrier/driver location during active deliveries for visibility, accurate ETA, operational coordination, fraud prevention, and delivery verification, subject to permissions and applicable law.
Winixx Freight is not responsible for cargo damage, loss, shortage, or theft. The carrier is solely responsible for the care, custody, and control of the freight during transportation, subject to the shipper-carrier agreement and applicable law. Optional additional coverage may be offered for a fee if requested by the shipper at shipment creation, subject to terms and exclusions disclosed at purchase.
Winixx Freight strictly prohibits use of the Platform for the transportation, facilitation, concealment, or coordination of illegal substances, controlled drugs, prohibited goods, stolen property, or human trafficking of any kind.
Users may not post, bid on, accept, or execute any shipment that involves, or is reasonably suspected to involve:
Shippers are solely responsible for accurate cargo declarations. Carriers are solely responsible for ensuring cargo they accept is lawful to transport.
Winixx Freight does not inspect cargo. We reserve the right to immediately suspend or permanently ban users suspected of illegal activity and to report such activity to law enforcement or regulatory authorities where required or appropriate.
Accessorials and claims are primarily between shipper and carrier unless stated otherwise in the shipment agreement.
Users must not engage in prohibited behavior, including:
You consent to receive operational communications related to verification, shipments, security, compliance, and payouts. We may maintain records of Platform activity for security, compliance, dispute support, product improvement, and analytics purposes.
The Platform may integrate third-party services. Your use of third-party services may be governed by separate terms.
The Platform and its content, trademarks, logos, and software are owned by Winixx Freight and/or its licensors.
Use of the Platform is governed by our Privacy Policy.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WINIXX FREIGHT SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.
You agree to indemnify Winixx Freight and Winixx Inc. for claims arising out of your use of the Platform or violation of these Terms.
We may suspend or terminate access at any time at our sole discretion.
We may update these Terms from time to time. Continued use constitutes acceptance.
These Terms are governed by the laws of the State of New York.
